What comes after ownership?

Start with a few details. Request an introduction to an independent valuation partner.

Your buyer needs a workable operating plan after closing, including the licensing position. Tucson Business Brokers Office helps you start a valuation discussion without assuming that the company license simply follows the sale.

Start with the license holder

Identify the legal entity that holds each license. Compare that entity with the seller named in the proposed agreement. A trade name, an owner and a licensed company are not interchangeable entries.

List the classifications and the people associated with the license. Then describe whether the deal changes ownership interests, sells assets to a different entity or changes responsible personnel.

Use the current ROC ownership process

The Arizona Registrar of Contractors provides an update checklist and ownership/personnel change resources. The existence of an update form does not establish that every transaction can continue under the same license.

Ask ROC what the proposed facts require. Keep its guidance with the closing file and arrange professional advice for contractual or licensing questions that depend on the deal structure.

Do not promise continuity before checking it

If a seller is also the key technical person, discuss that dependency early. A training commitment and a licensing requirement are different obligations. The buyer needs to understand both.

Customer agreements, open permits, warranties and unfinished jobs also deserve review. A sale announcement does not rewrite those documents or settle responsibility for existing work.

Prepare the operating evidence alongside the license file

A buyer will also examine job margins, technicians, dispatch and equipment. Link those records to the work the licensed business actually performs. Identify the responsibilities you would stop carrying after the sale.

The valuation partner can begin with a broad industry description and revenue range. Do not submit license portal credentials, identification documents or customer access codes through the initial form.

For a practical service example see sell a commercial refrigeration company. Build the asset file with prepare equipment records for a business valuation.

Local records may need attention too: Tucson ownership changes. Request an owner assessment when you can summarize the proposed sale.
